1. Acceptance of terms
By accessing or using SeatLessMail, a service operated by Seatless Software Limited ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.
These Terms constitute a binding agreement between you (or the organisation you represent) and Seatless Software Limited. By creating an account or using any part of the service, you confirm that you are at least 18 years old and have the authority to enter into this agreement.
2. Description of the service
SeatLessMail is an email infrastructure platform that enables customers to manage contacts and mailing lists, send broadcast emails, build automated email sequences, and monitor delivery and engagement metrics. The service is provided as a hosted, multi-tenant software application accessible via a web interface and API.
We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice where possible.
3. Accounts and eligibility
Access to SeatLessMail is by invitation only. You must receive an invitation from an existing account administrator to create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately at support@seatlessmail.com if you suspect unauthorised access to your account.
You may not create accounts on behalf of others without their knowledge, or share your account credentials with third parties.
4. Acceptable use and anti-spam policy
SeatLessMail is designed for legitimate, permission-based email communication. You agree to use the service only in ways that comply with all applicable laws — including the UK PECR, CAN-SPAM Act, CASL, and GDPR — and with this Acceptable Use Policy.
You must not:
- Send unsolicited commercial email (spam) of any kind. Every recipient must have given clear, prior consent to receive email from you.
- Send to purchased, rented, scraped, or harvested mailing lists. You must have a direct, demonstrable opt-in relationship with every contact on your list.
- Conduct cold-email outreach or mass prospecting campaigns to people who have not requested communication from you.
- Misrepresent the sender, origin, or content of any message — including using forged headers, misleading subject lines, or deceptive "from" addresses.
- Send content that is unlawful, threatening, defamatory, obscene, or that promotes illegal activity.
- Use the service to distribute malware, phishing content, or other malicious material.
- Attempt to circumvent our sending limits, suppression lists, or any other technical controls.
- Interfere with or disrupt the service, its infrastructure, or other customers' use of the service.
We take anti-spam compliance seriously. Violations of this policy may result in immediate suspension or termination of your account without notice and without refund. We may report serious violations to relevant authorities and to email infrastructure providers including Amazon Web Services.
5. Customer responsibilities
You are solely responsible for:
- Obtaining and documenting clear, lawful consent from each contact before sending them email through SeatLessMail.
- Maintaining accurate and up-to-date mailing lists, and promptly honouring unsubscribe requests.
- Ensuring all email content complies with applicable law, including advertising disclosures, physical address requirements, and opt-out mechanisms.
- The accuracy and legality of the data you upload to the platform, including contact records.
- Any consequences arising from your use of the service, including bounces, complaints, or regulatory action related to your email campaigns.
6. Intellectual property
Seatless Software Limited retains all rights, title, and interest in and to SeatLessMail, including all software, designs, trademarks, and documentation. These Terms do not grant you any intellectual property rights in the service beyond the limited right to use it as described herein.
You retain all rights to content you upload to the platform, including your contact data and email templates. By using the service, you grant us a limited licence to process that content solely for the purpose of delivering the service.
7. Fees and billing
Pricing and billing terms are agreed separately at account setup or on request. Please contact us at support@seatlessmail.com for pricing information. We reserve the right to change our pricing with reasonable advance notice.
8. Disclaimers
SeatLessMail is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free from harmful components.
Email delivery depends on factors outside our control, including the policies of receiving mail servers. We do not guarantee delivery of any particular message.
9. Limitation of liability
To the fullest extent permitted by law, Seatless Software Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service — even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from these Terms or the service shall not exceed the amounts you paid to us in the three months preceding the claim.
10. Termination
Either party may terminate these Terms at any time. You may close your account by contacting us at support@seatlessmail.com. We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use Policy in §4.
Upon termination, your right to access the service ceases immediately. Sections that by their nature should survive termination (including §4, §6, §8, §9, and §11) will continue to apply.
11. Governing law
These Terms are governed by the laws of Hong Kong SAR. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
12. Changes to these terms
We may update these Terms from time to time. We will give you reasonable notice of material changes by email or by a notice within the platform. Your continued use of the service after any changes take effect constitutes your acceptance of the revised Terms. The effective date at the top of this page reflects when the current version was last revised.
